Welcome to Study Guard ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Study Guard mobile application, website, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By accessing and using Study Guard, you represent that you are at least 13 years old (or older as required by applicable law) and legally capable of entering into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Study Guard is designed to help users in their academic pursuits by offering study aids, reminders, resources, and organizational tools intended to improve study habits and academic performance. The Service may include educational content, interactive tools, and community features. We reserve the right to change or discontinue features at any time without notice.

3. License to Use the Service

Subject to these Terms, we hereby grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use. This license does not permit you to use the Service on behalf of any third party or for any commercial purpose without our prior written consent.

4. Acceptable Use

You agree to use Study Guard only for lawful purposes and in a manner that does not:

  • Interfere with or disrupt the Service or servers or networks connected to the Service.

  • Attempt to impersonate any person or entity.

Any violation of this section may result in the suspension or termination of your account.

5. User-Generated Content

If Study Guard enables you or others to submit or post content (e.g., notes, forum posts, or comments), you acknowledge and agree to the following:

  • Ownership: You retain copyright in your user-generated content.

  • License Grant: You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, modify, reproduce, distribute, display, and perform your content solely in connection with the Service.

  • Responsibility: You are solely responsible for your contributions and the consequences of posting them. We reserve the right to remove any content that we determine to be inappropriate or in violation of these Terms without notice.

6. Intellectual Property Rights

All intellectual property rights in and to Study Guard, including but not limited to content, design, logos, trademarks, and software, are owned by or licensed to us. You are granted no rights in or to any content except for the limited rights expressly granted under these Terms. You agree not to remove, alter, or obscure any proprietary notices.

7. Third-Party Content and Links

The Service may include links to third-party websites or resources. We do not endorse and are not responsible for the availability, accuracy, or content of such external sites or resources. Use them at your own risk.

8. Disclaimers and Limitation of Liability

Disclaimers:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

  • We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

  • The information and recommendations provided by Study Guard are for educational purposes only and should not be construed as professional advice.

Limitation of Liability:

  • In no event will Study Guard, its affiliates, or their respective directors, employees, or agents be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

  • Our total aggregate liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the amount you paid (if any) to access the Service during the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Study Guard and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your infringement or misappropriation of any third party’s rights.

10. Termination

We reserve the right to suspend, restrict, or terminate your access to Study Guard at any time, with or without notice, for any reason, including a breach of these Terms. Upon termination, your right to use the Service will immediately cease, and you must promptly remove all copies of any Study Guard content in your possession.

11. Modifications to Terms

We may update these Terms from time to time to reflect changes in our practices or applicable law. We will notify you of any material changes by posting the new Terms on our website or within the Service, along with an updated "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Study Guard operates, without giving effect to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, or in the courts of the appropriate jurisdiction, as determined by applicable law.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
